Interpretation

The words of which the initial letter is capitalised have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of this Disclaimer:

• Company (referred to as either "the Company", "We", "Us" or "Our" in this Disclaimer) refers to Exodus Consulting Ltd, 20 Douglas Street, Okitu, Gisborne.
• Property means Kauri Lodge, 20 Douglas Street, Okitu, Gisborne.
• Service refers to the Website.
• You means the individual accessing the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.
• Website refers to Kauri Lodge, accessible from www.kaurilodge.com.

The information contained on the Service is for general information purposes only. It is subject to the vendor disclaimer below.

The Company assumes no responsibility for errors or omissions in the contents of the Service.

In no event shall the Company be liable for any special, direct, indirect, consequential, or incidental damages or any damages whatsoever, whether in an action of contract, negligence or other tort, arising out of or in connection with the use of the Service or the contents of the Service. The Company reserves the right to make additions, deletions, or modifications to the contents on the Service at any time without prior notice.

The Company does not warrant that the Service is free of viruses or other harmful components.

Vendor disclaimer and buyer due diligence

Information provided in good faith. All information about the Property on the Service, and in any other material supplied in connection with its sale (including marketing material, the information memorandum, the tender pack, information given at open homes and viewings, and anything said verbally), is provided in good faith by or on behalf of the vendors of the Property. It has been prepared from sources believed to be reliable, but it has not been independently verified by the vendors or the Company.

No representation or warranty. Neither the vendors nor the Company gives any representation or warranty, express or implied, as to the accuracy, completeness, currency or suitability of that information. This includes, without limitation, descriptions, floor and land areas, boundaries, room and bedroom counts, permitted uses, building consents and code compliance, rating valuations, zoning, rental or income potential, the condition of buildings, services and chattels, drive and walking times, photographs, plans and the 3D tour. Photographs and the 3D tour may include furniture and items that are not included in the sale; only the chattels listed in the agreement for sale and purchase are included.

No liability. To the maximum extent permitted by law, neither the vendors nor the Company, nor any of their respective employees, agents, advisers or representatives, accepts any liability, monetary or otherwise, whether in contract, tort (including negligence), under statute or otherwise, for any loss, damage, cost or expense of any kind suffered or incurred by any person arising directly or indirectly from any reliance on that information, or from any error in or omission from it.

Not an offer or contract. The information does not constitute an offer, and does not form part of any contract, for the sale of the Property. The tender documents and the agreement for sale and purchase prevail over anything on the Service or in any other material. No statement made by or on behalf of the vendors or the Company forms part of the contract unless it is expressly included in the agreement for sale and purchase.

Independent due diligence. Every prospective purchaser must undertake their own independent due diligence and must not rely on the information provided. Before submitting a tender, prospective purchasers should, for their own benefit, obtain independent legal, building, valuation, financial, tax and any other professional advice they consider necessary, and make their own enquiries and inspections, including reviewing the record of title, the LIM, building consents and the code compliance certificate, and obtaining a building inspection report.

Purchaser's acknowledgement. By submitting a tender, a purchaser acknowledges that they have relied solely on their own inspection, enquiries, due diligence and professional advice, and not on any statement, representation or information given by or on behalf of the vendors or the Company.
